End User Licence Agreement
Voicelo is licensed, not sold. This sets out what you may do with the software, what you may not, and who owns what — including the voices your agents speak with and the output they produce.
The licence
Subject to this agreement and to your subscription remaining in good standing, Xenflows grants you a limited, non-exclusive, non-transferable, revocable, worldwide licence to access and use Voicelo for your own business purposes.
Voicelo is delivered as a hosted service. You are licensed to use it. Nothing here transfers ownership of the software, and no copy of it is supplied to you to keep.
What the licence does not allow
You may not, and may not permit anyone else to:
- Copy, modify, translate or create derivative works of the software.
- Reverse engineer, decompile or disassemble any part of it, or attempt to derive its source code, except to the extent that restriction is unenforceable by law.
- Sell, rent, lease, sublicense, distribute or otherwise make the software available to a third party, including as a managed service or under your own brand, without our written agreement.
- Remove or obscure any proprietary notice.
- Use the service to build, train or benchmark a competing product.
- Circumvent plan limits, usage metering or access controls, or share credentials to do so.
- Probe, scan or load-test the service without our written permission.
Who owns what
- The software
- Voicelo, its interface, source code, documentation and branding belong to Xenflows and its licensors. All rights not expressly granted are reserved.
- Your content
- Your agent instructions, knowledge base, lead lists, recordings and transcripts remain yours. You grant us only the licence needed to host and process them so the service works.
- Agent output
- As between you and us, what your agents say and produce during your calls is yours, and you are responsible for it. Note that identical prompts can produce similar output for different customers, so output is not guaranteed to be unique.
- Feedback
- If you send us suggestions, we may use them without obligation or payment. We will not claim any right to your confidential information in doing so.
Voices and third-party models
The voices available in Voicelo are licensed from providers such as ElevenLabs, Deepgram and Sarvam, and are subject to those providers’ own terms in addition to this one. Your right to use a voice lasts only as long as our licence for it does.
You may not use a cloned or custom voice that imitates a real person without that person’s documented, informed permission. Where you supply your own voice, you warrant that you hold the rights to use it for automated calling, and you indemnify us against claims that you did not.
Language models are likewise operated by third parties under their own terms and usage policies. Choosing a model in the product means accepting how that provider handles the text sent to it, as described in the Privacy Policy.
Updates and changes
Because Voicelo is hosted, we update it continuously. Features may be added, changed or withdrawn. We will give reasonable notice before removing a feature you rely on where we can, but we do not guarantee that any particular feature, voice, model or integration will remain available.
Term and termination
This licence runs while your account is open. It ends automatically if your subscription lapses or if either party terminates under the Terms of Service.
On termination you must stop using the service. The sections on ownership, restrictions, disclaimers, liability and governing law survive.
Disclaimer and liability
To the fullest extent permitted by law, the software is licensed “as is” and “as available”, without warranty of any kind. We do not warrant that it will be uninterrupted or error free, that speech recognition will be accurate, or that a language model will produce a particular result.
The limitations and exclusions of liability in the Terms of Service apply equally to this agreement.
Export and government use
You may not use or export Voicelo in breach of United States export laws or sanctions, and you confirm you are not located in an embargoed territory or on a restricted-party list. Where the software is licensed to a US government entity it is provided as “commercial computer software” with only the rights granted here.
Governing law
This agreement is governed by the laws of the State of New Mexico and the federal laws of the United States, with exclusive jurisdiction in the courts of New Mexico, matching the Terms of Service.
